GENERAL TERMS AND CONDITIONS

This quotation is subject to the following terms and conditions:

TAXES

Any federal, state, or local tax imposed by any present or future law on the sale of equipment covered by this quotation shall be in addition to the amount of the invoice price and shall be paid by the customer.

SHORTAGES & DAMAGE TO SHIPMENT

The responsibility of Almco as to damage to material in transit ceases upon delivery of the material in good order to a common carrier at the point of shipment.  Purchaser agrees to accurately check shipment when it arrives at destination and to file claim with local carrier agent for any shortage or damage.

WARRANTY

Almco warranty is for one year from date of receipt of equipment.  Warranty covers parts and ground shipping only, and does not include installation, air freight, or other costs.  Almco warrants that if any part of our product, which has been properly maintained and which is used under normal operating conditions in the plant of the original purchaser, proves to be defective in material or workmanship, it will be replaced free of charge and shipped prepaid using standard UPS or truck and installed at the expense of the purchaser.

Almco shall not be responsible for machine modifications, material furnished, or repairs made by others unless agreed to in writing.  We reserve the right of performing or supervising any repair work necessary to put equipment in proper operation under this warranty.

Except as stated above, there are no warranties, express or implied, including the warranties of merchantability and fitness for a particular purpose.  Almco acknowledges that purchaser’s sole and exclusive remedy against company shall be for the repair or replacement of defective parts as provided for herein and the warranty as stated above is in lieu of any other warranty or remedy.  In no event, be it due to a breach of any warranty or any other cause arising from the performance or non-performance of the goods sold thereunder, shall Almco be obligated or liable to purchaser in any manner for consequential or incidental damages, including, but not limited to, lost profits, plant downtime or suits by third parties.

CANCELLATION AND RESTOCKING

Copy of Invoice or copy of Replacement Item Packing Slip must accompany all returned goods.

A restocking fee of 25% will be charged on all parts, media, and compounds returned.  All returns must be shipped pre-paid.  Canceled machinery orders will require a cancellation charge of 25%-75% depending upon the production progress and the model of machine on order.  Custom equipment is not allowed to be returned. All items must have prior RETURN AUTHORIZATION APPROVAL from authorized ALMCO personnel.

ACCEPTANCE

The enclosed proposal is made for prompt acceptance.  Prices are valid for 14 days and are subject to change without notice thereafter.  Almco will use all reasonable means to make shipment at time specified but assume no liability for loss or damage arising from delays due to fires, strikes, natural disasters, pandemics, or any other causes beyond our control.  All proposals and acceptances of orders are made with the mutual understanding that orders are not subject to cancellation.

Title and right of possession of machinery and goods shall remain with Almco until the full purchase price has been paid.

Neither this proposal, nor any modification thereof, shall be binding upon either party until the same has been accepted by the purchaser in writing, and approved in writing by an executive officer of Almco at its general offices in Albert Lea, Minnesota.
